Terms of Service

Last updated 5 November 2026

The rules for using Odalo, written to be read. In short: your work stays yours, agents can make mistakes so a person accepts their work, and you use Odalo lawfully.

1. Agreement to these terms

These Terms of Service (“Terms”) are a contract between you and EveryDolla, LLC, a Delaware limited liability company (“EveryDolla”, “we”, “us”). They cover your use of Odalo: the Odalo app for Mac, the website at odalo.app, and the online services the app connects to (together, the “Service”).

By downloading, installing or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

If you use Odalo on behalf of a company or other organization, you agree to these Terms for that organization and confirm you have the authority to do so. “You” then means both you and that organization.

2. Who can use Odalo

You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract. You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable country, including sanctions and export laws.

3. Your account

You sign in to Odalo with a Google account. You are responsible for keeping your sign-in secure and for activity that happens under your account. Tell us right away at hello@odalo.app if you believe your account has been used without your permission.

Give us accurate information, and keep it up to date. Don't share your account or let others use it.

4. Workspaces and administrators

Odalo is organized into workspaces. The person or organization that creates a workspace, and anyone they make an administrator, controls it: who can join, what people can see and share, which agents and connected services are allowed, and whether accounts are suspended or removed.

If you join a workspace that belongs to an organization, that organization's administrators can access and manage the content in it, and your use of that workspace may also be governed by your agreement with that organization. Questions about how an organization uses its workspace should go to its administrators.

5. Your content

“Your Content” means everything you and your team put into Odalo: messages, tasks, projects, files, documents, comments, and the work your agents produce for you. You keep all rights to Your Content. We don't claim ownership of it.

You give us a worldwide, non-exclusive, royalty-free permission to host, store, copy, process, transmit and display Your Content only as needed to run the Service for you: for example, to sync it between devices, show it to the people you share it with, send notifications, and carry out the agent and connector actions you start. This permission ends when Your Content is deleted from the Service, except for copies we must keep by law or that remain for a limited time in backups.

We don't sell Your Content, we don't use it to advertise to you, and we don't use it to train AI models.

You are responsible for Your Content and confirm that you have the rights needed to put it into Odalo and share it as you do.

6. Agents and AI features

Odalo lets you hand work to AI agents. Your agent runs on your Mac using your own account with an AI provider, such as Anthropic (Claude) or OpenAI. When an agent works, the instructions you give it and the content it needs are sent to that provider under your account, and the provider's own terms and policies apply to that use. You are responsible for your relationship with your AI provider, including any fees it charges.

AI output can be wrong, incomplete or out of date, even when it cites sources. Odalo shows the sources an agent used and the steps it took, and agents never mark their own work as done: a person reviews and accepts it. Check important work before you rely on it, and don't use agent output as professional legal, financial, medical or other advice.

Agents act only within the access you give them: the tools and connected services you switch on, and the content you allow them to read. You are responsible for the actions you ask an agent to take and for the results you accept, including messages sent and changes made in connected services.

7. Connected services

You can connect other services to Odalo, such as Google Drive, Gmail, GitHub, Notion or Asana. When you do, you authorize Odalo to access those services on your behalf, only as needed for what you ask. Your use of each connected service is governed by its own terms and privacy policy, and we are not responsible for those services. You can disconnect a service at any time.

8. Acceptable use

You agree not to, and not to let anyone else (including an agent acting for you):

  • break the law, or infringe or violate anyone else's rights, including privacy and intellectual property;
  • upload or share content that is unlawful, harassing, hateful, sexually exploits minors, or promotes violence;
  • send spam or unsolicited bulk messages, or use the Service for phishing or fraud;
  • upload malware, or attempt to probe, scan, disrupt, overload or gain unauthorized access to the Service, other accounts or our systems;
  • get around limits, security measures or access controls, including workspace permissions;
  • copy, resell or offer the Service as part of a competing product, or scrape it by automated means except through features we provide;
  • use the Service to build or train a competing AI model;
  • use agents to take actions in connected services that you are not authorized to take yourself.

We may remove content or limit access where we reasonably believe these rules have been broken.

9. The Mac app and updates

Subject to these Terms, we give you a personal, non-exclusive, non-transferable, revocable license to download, install and use the Odalo app on Macs you own or control, for as long as you are allowed to use the Service.

The app checks for updates and installs them to keep you on a secure, supported version. Some features need an internet connection and a current version of the app and of macOS.

Except where the law allows it despite this limitation, you may not copy, modify, reverse engineer, decompile or create derivative works of the app, or remove any notices from it. Odalo may include open-source components, which are licensed under their own terms.

10. Our intellectual property

The Service, including the app, the website, the Odalo name and logo and our designs, belongs to EveryDolla and our licensors and is protected by law. These Terms don't give you any rights to it beyond what they say. If you send us feedback or ideas, we may use them without any obligation to you.

11. Fees

Odalo doesn't charge for the Service today. If we introduce paid plans, we will tell you in advance, show the price before you buy, and never charge you without your agreement. Paid plans will come with their own terms, which we will show you at the time.

12. Early access

Odalo is new and changes often. Features may be added, changed or removed, and some may be labeled as early or experimental. We work hard to keep the Service reliable, but we don't promise that any feature will stay available. Keep your own copies of anything critical.

13. Suspension and ending

You can stop using Odalo at any time, and you can ask us to delete your account by writing to hello@odalo.app.

We may suspend or end your access if you break these Terms, if your use puts other users, the Service or the public at risk, if we are required to by law, or if we stop offering the Service. Where it is reasonable and lawful, we will tell you first and give you a chance to export Your Content.

Sections that by their nature should continue after these Terms end will continue, including sections 5 (for content we keep by law), 10, and 16 to 21.

14. Privacy

Our Privacy Policy explains what personal information we collect and how we use it. Where we process personal information on behalf of an organization's workspace, we do so on that organization's instructions.

15. Third-party services and links

The Service relies on and links to services run by others, including hosting providers, Google, Apple and your AI provider. We are not responsible for their content, policies or availability, and your use of them is at your own risk and under their terms.

16. Disclaimers

To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't warrant that the Service will be uninterrupted, secure or error-free, that content will not be lost, or that AI output will be accurate. Some places don't allow these exclusions, so some of them may not apply to you.

17. Limitation of liability

To the fullest extent the law allows, EveryDolla and its members, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to the Service or these Terms, even if we were told such damages were possible.

Our total liability for all claims relating to the Service or these Terms is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose, or 100 US dollars.

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.

18. Indemnity

If you use the Service for an organization, that organization will defend and indemnify EveryDolla against claims by third parties, and the resulting losses, costs and reasonable legal fees, that arise from Your Content, from actions you direct your agents to take, or from a breach of these Terms. This section does not apply to individuals using Odalo as consumers.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the Service will be brought only in the state or federal courts located in Delaware, and you and we consent to their jurisdiction.

If you are a consumer, you keep the protection of any mandatory laws of the country where you live, and you may also bring a claim in the courts there. Before starting a formal dispute, please write to us at hello@odalo.app so we can try to resolve it.

20. Changes to these terms

We may update these Terms as Odalo changes or the law requires. We will post the new version here and update the date above. If a change is significant, we will tell you in the app or by email before it takes effect. If you keep using the Service after a change takes effect, you accept the updated Terms. If you don't agree, stop using the Service.

21. General

These Terms, together with the Privacy Policy and any terms for features you choose to use, are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. If we don't enforce a part right away, we haven't given up the right to do so later. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither of us is responsible for delays caused by events beyond reasonable control.
